Welcome to The Port Hub, an online drayage marketplace operated by Drayage Academy, Inc. ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of The Port Hub platform ("Platform"), including all related tools, notifications, and services.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
1. DEFINITIONS
- Platform means The Port Hub website, tools, features, and related services.
- User refers to any individual or business accessing or using the Platform.
- Shippers include shippers, freight forwarders, and freight brokers posting container loads.
- Motor Carriers refer to authorized carriers searching, quoting or booking loads.
- Subscription refers to paid membership plans available to Motor Carriers.
2. ELIGIBILITY
To use the Platform, you must:
- Be at least 18 years old;
- Represent a legitimate business or operate as a licensed participant in the transportation or logistics industry;
- Ensure all registration information is accurate, current, and complete.
3. ACCOUNT REGISTRATION
You are required to create an account to access certain features. You agree to:
- Maintain the confidentiality of your login credentials;
- Notify us immediately of unauthorized access;
- Accept responsibility for all activity under your account.
We reserve the right to refuse or terminate accounts for any reason.
4. USER ROLES & RESPONSIBILITIES
Shippers / Brokers / Freight Forwarders
- May post drayage load opportunities on the Platform free of charge.
- Must provide accurate and truthful load details.
- Are solely responsible for negotiating, selecting, and contracting with carriers.
Motor Carriers
- Must maintain proper operating authority, insurance, and compliance.
- May view posted loads and contact Shippers regarding posted opportunities.
- Are responsible for verifying load legitimacy and all transaction details.
All Users Agree To:
- Conduct business professionally and lawfully;
- Use the Platform only for drayage-related communication;
- Take full responsibility for the accuracy of their posted content.
5. SUBSCRIPTIONS & PAYMENTS
Motor Carriers may access loads through a monthly subscription plan.
- Recurring Billing: Fees are billed automatically on a recurring monthly cycle.
- Upgrades & Downgrades: Membership changes take effect immediately.
- Failed Payments: We may suspend access until resolved.
- No Refunds: Payments for subscriptions or unused time are non-refundable.
- Chargebacks: You agree not to initiate chargebacks without first contacting support.
6. ACCEPTABLE USE & PROHIBITED CONDUCT
You agree not to:
- Use the Platform to solicit unrelated products or services;
- Access the Platform using bots, scrapers, or automated tools;
- Post false, misleading, or harmful information;
- Copy, modify, reverse engineer, or resell any portion of the Platform;
- Interfere with the website, services, or security features.
7. USER-GENERATED CONTENT
By posting Content, you represent that you own the rights to the Content, it is accurate and lawful, and you grant us a non-exclusive royalty-free license to display and use the Content to operate the Platform.
8. MARKETPLACE DISCLAIMER
The Port Hub is a neutral marketplace. We do not broker freight, verify user identities or credentials, guarantee load availability or payment, or participate in negotiations. All transactions occur exclusively between Users.
9. THIRD-PARTY SERVICES
The Platform may integrate with third-party tools. We are not responsible for third-party service interruptions, errors, or changes in functionality.
10. COMMUNICATION CONSENT
By creating an account, you agree to receive email notifications regarding account activity, optional marketing emails, and SMS updates when applicable.
11. PRIVACY
Your use of the Platform is governed by our Privacy Policy at https://port-hub.net/privacy-policy.
12. INDEMNIFICATION
You agree to indemnify and hold harmless Drayage Academy, Inc. from any claims arising from your use of the Platform, violation of laws, or interactions with other Users.
13. LIMITATION OF LIABILITY
To the fullest extent permitted by law, we are not liable for lost profits, business interruption, loss of data, or any damages arising from Platform use.
14. TERMINATION
We may cancel your membership for non-payment, violation of these Terms, or fraudulent activity. You may delete your account at any time through your Company Profile or by contacting support.
15. MODIFICATIONS TO TERMS
We may update these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
16. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of the State of North Carolina. Disputes shall be resolved through binding arbitration.
17. SEVERABILITY & ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and Drayage Academy, Inc. regarding Platform use.
